John Frieda® ‘Make Every Day a Hair Better’ Contest
1. ENTRY PERIOD & CONTEST SPONSOR.
(a) The Contest is brought to you by Kao Canada Inc. (”Contest Sponsor”).
(b) This Contest begins at 12:00 PM on May 15, 2016 and ends at 11:59 PM on August 31, 2016. All times are Eastern.
(a) The Contest is open to residents of Canada who are age of majority in their province of residence as of the date of entry.
(b) Employees, officers, directors, agents, and representatives of the Contest Sponsor, its parent and affiliated companies, the Contest prize suppliers, the Contest Judges, and any and all other companies associated with the Contest, as well as those with whom the foregoing individuals reside, are not eligible to enter this Contest.
(c) The Contest Sponsor shall have the right at any time to require proof of identity and/or eligibility to enter the Contest. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied for the purpose of the Contest must be truthful, complete, accurate and in no way misleading. The Contest Sponsor reserves the right, in its sole discretion, to disqualify any entrant should such an entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal details and/or information.
3. HOW TO ENTER.
(a) No purchase necessary.
(b) There are two (2) methods to enter the Contest:
i) Enter via website: Go to www.AHairBetter.ca or www.AHairBetter.ca/fr/ during the Entry Period and click on the “Enter Now” button to access the online entry form for the Contest (“Entry Form”). Once you have accessed the Entry Form, you must 1) complete the Entry Form as instructed, including your first name, last name, email address and city of residence; and 2) follow the instructions to upload a photo of you and a person who ‘makes your day a hair better’ (“Photo”); and 3) include a description on how or why the person in the Photo ‘makes your day a hair better’ using up to a maximum of 500 characters (“Description”). The completed Entry Form, Photo, and Description are collectively referred to as your “Entry”. Once you have completed the steps listed above, submit the Entry. Photo requirements: You and the person that ‘makes your day a hair better’ must be the only people in the Photo and there may be no visible brands and/or logos to in the Photo. Photo must be in JPG or PNG file format and the file size may not exceed 3MB.
ii) Enter via Instagram: To enter via Instagram, you must have an Instagram account which can be obtained free of charge from www.instagram.com. Post a photo of you and a person who ‘makes your day a hair better’ (“Photo”), along with a description on how or why they ‘make your day a hair better’ with up to a maximum of 500 characters (“Description”), which together are an entry (“Entry”). You must tag John Frieda Canada (@johnfriedacanada) and include the hashtag #AHairBetterContest for the Entry to be valid. Photo requirements: You and the person that ‘makes your day a hair better’ must be the only people in the Photo and there may be no visible brands and/or logos in the Photo. Posting on Instagram requires a mobile device and therefore message and data rates may apply. All terms and conditions of Instagram.com apply. In order for your Entry to be valid, your Instagram account must be public and thus viewable by the Sponsor and its agents.
IMPORTANT NOTE: You must have permission from the person whose image and/or name is included in your Entry to include the person’s image and/or name for purposes of your Entry into this Contest. By submitting the Entry, you grant Sponsor the right to use such person’s image and name in connection with this Contest and in accordance with these Official Rules. The other person featured in the Entry will have an opportunity to request that the Entry be removed from the Gallery. If the person requests removal of the Entry from the Gallery, the Entry featuring such person will be disqualified and the entrant will be ineligible for the Contest prizes based on the removed Entry.
(c) Entry into the Contest by either method of Entry is deemed acceptance of the Contest rules.
By participating in the Contest, each entrant agrees to have his/her Entry posted online in the Contest Photo Gallery (“Gallery”) for public viewing without further notice or compensation. Prior to being posted to the Gallery, the Sponsor and/or its promotional agency or designated content moderator (the “Reviewer”) will initially screen the Entry. Note there may be a delay of up to 2 business days before an Entry is posted online to the Gallery. Any Entry that the Reviewer deems, in its sole and absolute discretion, to violate the terms and conditions set forth in these Rules will not be posted onto the Gallery.
By entering the Contest, you represent and warrant that your Entry (a) is original to you, and that you have all necessary rights (including, without limitation, permission from the photographer if you are not such photographer and the third party included in your Entry) to submit the Entry to enter the Contest; (b) does not include content that is defamatory, libellous, pornographic or obscene; and (c) does not contain, depict, include, or involve, (i) nudity, (ii) explicit, graphic or excessive sexual activity, (iii) crude, vulgar or offensive language and/or symbols, (iv) derogatory characterizations of any ethnic, racial, sexual or religious groups, (v) content that endorses, condones and/or pertains to any illegal, inappropriate or high risk activity, behaviour or conduct, (vi) personal information of individuals, including, without limitation, names and addresses (physical or electronic), without the consent of those individuals, (vii) commercial messages, comparisons or solicitations for products or services, (viii) any materially identifiable third party products and/or trade-marks, brands or logos (materiality to be determined by Contest Sponsor in its sole discretion), or (ix) any other content that is, or could reasonably be considered to be, inappropriate, unsuitable or offensive, as determined by the Contest Sponsor in its absolute discretion. You further understand and agree that any Entry submitted with your entry may not be returned to you upon submission to the Contest, and may be refused as entry to this Contest in the absolute discretion of the Contest Sponsor.
By entering this Contest, you grant to the Contest Sponsor a worldwide, perpetual, royalty-free, irrevocable, non-exclusive and unlimited licence to use your Entry, including the Photo and/or Description, in any media and for any purpose related to the Contest, and waive all claims of copyright and moral rights in the Entry, and any rights that you may have to compensation, pertaining to any use, reproduction, modification, adaptation, translation, alteration of, or creation of derivative works from, the Entry by the Contest Sponsor for any purpose and in any media whatsoever. You further agree to indemnify and hold harmless each of the Releasees (defined below) from and against any and all claims or actions brought by a person whose consent was not obtained by you, or by any person claiming that his/her/its intellectual property rights, moral rights or personality or privacy rights are infringed by the Entry or by any Contest Sponsor’s use of the Entry in accordance with these rules.
(d) ENTRY LIMIT – There is no Entry limit in this Contest. Each Photo and/or accompanying Description must be original and may only be submitted once to be considered a valid entry.
(e) Any attempt or suspected attempt to enter this Contest in a fashion not authorized by these rules shall be deemed to be tampering and will void all of your entries. Entries that contain false information and/or are late, lost, stolen, falsified, illegible, damaged, misdirected, mutilated, garbled or incomplete, altered or otherwise irregular or entries that have been submitted using robotic, automated, programmed, or through illicit means, or that do not conform with or satisfy any or all of these Contest rules, as determined in the Contest Sponsor’s absolute discretion, will be judged null and void and disqualified. Only entries received by Contest Sponsor will be considered. Proof of entry transmission shall not constitute proof of receipt. Contest Sponsor reserves the right to refuse any entry in its absolute discretion. The sole determinant of time for valid online entry in this Contest will be the Contest website’s server machine(s).
(f) Although this Contest may be communicated, promoted, or administered by means of any third party social media or social networking service or site (each, a “Third Party Service”), entrants acknowledge that: (i) this Contest is not sponsored, endorsed or administered by, or associated with, any Third Party Service; (ii) if entry into this Contest is by means of a Third Party Service, entrants must have a valid account with the applicable Third Party Service (and may be required to have a public (i.e. non-private) account in order to participate) and must comply with the applicable Third Party Service’s terms and policies; and (iii) any questions, comments or complaints regarding this Contest should be directed to the Contest Sponsor and not to any Third Party Service. By participating in this Contest, you completely release any Third Party Service of all liability in relation to any injury, damage or loss that may occur, directly or indirectly, in whole or in part, from your participation.
4. PRIZE DESCRIPTION.
(a) There is one (1) prize to be won in this Contest (the “Trip Prize”), which consists of a trip for the winner and one (1) guest (collectively, the “Travellers”) to winner’s choice of Montréal, Québec, Canada or Toronto, Ontario, Canada, including:
(i) Return economy airfare from the airport closest to the winner’s residence in Canada (as determined in the sole discretion of the Contest Sponsor) to winner’s choice of either Toronto, Ontario or Montréal, Quebec;
(ii) Two (2) nights luxury hotel accommodation (standard room, based on double occupancy) at a hotel to be selected in the sole discretion of the Contest Sponsor (the “Hotel”);
(iii) Ground transportation between airport and Hotel for arriving and departing flight;
(iv) $300 CDN, to be awarded in the form of a cheque, towards ground transportation to/from the Winner’s residence in Canada and the airport (as determined in the sole discretion of the Contest Sponsor) closest to the Winner’s residence in Canada
(v) One (1) hair appointment for each of the Travellers in the Hotel room by a John Frieda® stylist, such appointment to include consultation, wash, cut, and blow-out;
(vi) $1,500 CDN (total) in spending money, to be awarded in the form of a cheque;
(vii) Two (2) John Frieda® product gift packs.
(b) Total approximate retail value of Trip Prize is $10,000 CDN. Actual retail value will vary based on flight schedule and hotel selection. All prize details, including exact flight times and Hotel selection, to be determined in the absolute discretion of the Contest Sponsor or prize suppliers, as applicable, subject to availability. If in the judgment of Sponsor, air travel is not required due to Trip Prize winner’s proximity to prize location, ground transportation will be substituted for round-trip air travel at Sponsor’s sole discretion. Prize winner will not receive difference between actual and approximate retail value of the Trip Prize or any prize component. All travel arrangements must be made through the Sponsor or its designated agents.
(c) The following terms and conditions apply in respect of the Trip Prize:
(i) Travellers must travel together on the same itinerary and are solely responsible for obtaining all necessary travel documents (e.g. valid passport). Contest winner’s guest must be age of majority, unless winner is the parent or legal guardian of such guest.
(ii) Winner must reserve the Trip Prize with a minimum 3 weeks’ notice, no later than November 24, 2016. Travel must take place by December 15, 2016. Blackout dates apply and include Thanksgiving. Documentation that is reasonably necessary for the Contest Sponsor or prize suppliers to book the Trip Prize for the Travellers (e.g. passport number) must be supplied to the Contest Sponsors or prize suppliers, as applicable, or their representatives or agents, upon request, and failure to do so may result in the forfeiture of the Trip Prize at the absolute discretion of the Contest Sponsor and/or prize suppliers.
(iii) Travellers are responsible for any additional expenses not included in the Trip Prize as described herein, including, but not limited to, travel and health insurance, transportation costs, taxis, checked baggage fees, excess baggage fees, and recreational activities.
(iv) The Releasees (defined below) are not responsible in the event that any Traveller is denied the ability to fly out of or into any particular airport, whether due to airport restrictions or otherwise, nor are they responsible for any cancellations, delays, diversions or any other changes made by any transportation and/or travel companies, hotels, air carriers, or others providing or arranging any travel or prize-related services or accommodations, including, without limitation, any resulting changes in services or accommodations. All tickets issued in connection with the Trip Prize are not eligible for frequent flyer miles. Once reservations are made, they cannot be changed. Other restrictions may apply.
(v) Travellers must behave appropriately and observe the laws, rules and regulations of location of the Trip Prize while using the Trip Prize, and participating in any prize-related activity. The Contest Sponsor and prize suppliers have the right, in their absolute discretion, to disqualify and remove any Traveller from any activity at any time if such individual is, at any point, uncooperative, disruptive, or may cause (or has caused) damage to person, property, or the reputation of the Contest Sponsor or prize suppliers.
(vi) No financial compensation will be made or required if actual prize value is lower than the total value quoted in these rules. Prize must be accepted as awarded, without substitution, transfer, exchange or assignment, unless otherwise determined in the absolute discretion of the Contest Sponsor and/or prize suppliers. Any unused portion of a prize, once awarded, will be deemed forfeited by the applicable winner, and no financial compensation will be made or required in respect of such unused portion. The Contest Sponsor and/or the prize suppliers reserve the right, in their absolute discretion, to substitute a prize or a component of a prize with a prize or a component of a prize (as applicable) of equal or greater value, including, without limitation, a monetary award, if the prize or prize component cannot be awarded by the Contest Sponsor and/or the prize supplier(s) for any reason. Prize may not be exactly as advertised. Prize will not be replaced if lost, mutilated, or stolen including tickets, cheque, travel vouchers or certificates.
(vii) Except as expressly warranted herein, any Contest prize is provided “as is” without further warranty of any kind.
5. SELECTION PROCESS.
(a) Starting on noon of September 1, 2016, and continuing up to and including September 22, 2016, a panel of judges (the “Contest Judges”) appointed by the Contest Sponsor will judge all Entries on the basis of the following weighted criteria:

Each eligible Entry will be given a total score by the Contest Judges. The one (1) eligible entrant associated with the top Entry based on total Score (as determined by the Contest Judges, in their sole and absolute discretion) will be selected as eligible Trip Prize Winner (subject to compliance with these Rules) at noon September 22, 2016 in Toronto, Ontario. In the event of a tie between two or more eligible Entries based on total Score, a draw will be held between the entrants with tied total Scores to determine the Trip Prize Winner.
Odds of being selected as the eligible Trip Winner depend on the number and calibre of eligible Entries received over the Entry Period as determined by the Contest Judges in their sole discretion or, in the event of a tie based on entrants’ total Score, the number of Entries involved in the tie.
(b) A selected entrant will be contacted by email at the email address indicated on the selected entrant’s entry should the Entry have been made via the website. If Entry was made via Instagram, the selected entrant will be contacted using his/her Instagram name (handle) provided when submitting his/her Entry. A selected entrant will be disqualified and required to forfeit any claim to the Contest prize if he or she cannot be reached within three (3) business days following the first attempt of contact or if the terms set forth in these Contest rules are not adhered to.
(c) Decisions and rulings of the Contest Sponsor and/or their representatives are final and binding without appeal in all matters related to this Contest and the awarding of a prize.
(d) To be declared the Trip Prize Winner, the selected entrant must be in full compliance with these Contest rules; and, in the discretion of the Contest Sponsor, sign and return a release of liability and consent to publicity form (the “Release Form”) within the time period specified in the Release Form, and any other documentation as may reasonably be required by the Contest Sponsor in their absolute discretion. In the event of a tie, where the Trip Prize Winner is determined by draw, the selected entrant must also correctly answer, without assistance of any kind, mechanical or otherwise, a time-limited, mathematical skill-testing question; The Trip Prize Winner’s guest may also be required to sign and return a Release Form, and any other documentation as may reasonably be required by the Contest Sponsor in its absolute discretion, in order to accompany winner on the Trip Prize.
(e) A selected entrant may be required to provide proof of identification to the Contest Sponsors when claiming a prize or otherwise in connection with this Contest to facilitate the Contest Sponsor’s accurate identification of a Contest winner.
(f) If a selected entrant does not fulfill the conditions set out in these rules, or declines or forfeits a Contest prize, the Contest Sponsor reserves the right, in its absolute discretion, to cancel the Contest prize or to award the Trip Prize to the next highest scoring Entry pursuant to the process described above.
(g) Once the winner has been confirmed in accordance with the terms of these Contest rules, prize distribution will promptly be coordinated.
6. RELEASE OF LIABILITY / CONSENT TO PUBLICITY.
By entering the Contest, each entrant accepts and agrees to (i) be legally bound by these Contest rules, including all eligibility requirements, (ii) be bound by the decisions of the Contest Sponsor and their representatives or the independent judging organization, if any, which are final, binding and conclusive (without appeal) on all matters relative to the Contest; and (iii) remise, release and forever discharge the Contest Sponsor, its parent and affiliated companies, subsidiaries, licensees, distributors, divisions, dealers, retailers, printers and advertising and promotional agencies, any and all other companies associated with the Contest (including prize suppliers and suppliers of materials or services related to the Contest), and all of their respective employees, directors, officers, shareholders, agents, representatives, successors and assigns (collectively, the “Releasees”) from any and all actions, causes of actions, suits, debts, dues, accounts, claims, damages or liability for any loss, harm, damages, costs or expenses arising out of, or in any way related to, his/her participation in the Contest and/or the awarding, receipt, possession, use and/or misuse of any Contest prize (or any portion thereof), or any travel or activity that is related to the receipt or use of any Contest prize, including, without limitation costs or losses related to personal injuries, death, damage to, loss or destruction of property, and rights of publicity, personality, privacy and/or intellectual property.
By accepting a Contest prize, Trip Prize Winner authorizes the Contest Sponsor and its designees to use in any related publicity the winner’s name, city and province/territory of residence, photograph, image, likeness, voice, and any statements he/she may make regarding such Contest prize for advertising and promotional purposes worldwide in perpetuity, in any form of media including the Internet, without limitation and without additional compensation or consideration, permission or notification, unless prohibited by law; and each winner waives any rights that may exist in respect of materials produced pursuant to the foregoing.
7. LIMITATION OF LIABILITY.
The Releasees are not responsible for (i) stolen, late, incomplete, illegible, inaccurate, misdirected, lost, misrouted, scrambled, damaged, delayed, undelivered, mutilated, postage-due or garbled entries, transmissions, email or mail; (ii) lost, interrupted or unavailable network, cable, satellite, server, Internet Service Provider, website, or other connections, including those through and/or by any website; (iii) jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (iv) failures or malfunctions of phones, phone lines or telephone systems, any error, omission, interruption, defect or delay in transmission, processing, or communication; (v) non-delivered, misdirected, blocked, or delayed email notifications; (vi) printing, typographical or other errors appearing within these Contest rules, in any Contest-related advertisements or other materials; or (vi) any other errors, problems or difficulties of any kind, whether human, mechanical, electronic, network, computer, telephone, mail, typographical, printing or otherwise relating to or in connection with this Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prize or in any Contest-related materials, or the cancellation or postponement of any event. The Releasees are also not responsible for any incorrect or inaccurate information, whether caused by website users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. The Releasees are not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participation in this Contest or downloading materials from or use of any website.
(a) Laws and Rules. This Contest will be run in accordance with these Contest rules, which shall be subject to amendment by Contest Sponsor without notice or liability to you. Entrants must comply with these Contest rules and will be deemed to have received and understood these rules by participating in this Contest. The terms of this Contest, as set out in these rules, are not subject to amendment or counter-offer, except as set out herein. This Contest is subject to all applicable federal, provincial and municipal laws and regulations. These rules are governed exclusively by the laws of the province or territory in which you reside, and you submit to the exclusive jurisdiction of the courts of such province or territory. Rights and remedies may vary by province or territory.
(b) Cancel and Amend. Contest Sponsor reserves the right to cancel, modify, or suspend this Contest or to amend the Contest rules at any time and in any way, without prior notice, for any reason whatsoever. Without limiting the foregoing, if for any reason the Contest is not capable of running as originally planned, for example as a result of tampering or infection by computer virus, bug, corruption, security breach, or other cause beyond the reasonable control of the Contest Sponsor, Contest Sponsor reserves the right to cancel or suspend the Contest and/or conduct a random draw from all previously received eligible entries.
(c) Conduct. The Contest Sponsor reserve the right, in it’s absolute discretion, to disqualify without notice any entrant that they find to be: violating the Contest rules; tampering or attempting to tamper with the entry process or the operation of the Contest or any Contest website; acting in an unsportsmanlike or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person; or attempting to undermine the legitimate operation of the Contest. Any attempt by an entrant or any other individual to undermine the legitimate operation of this Contest may be a violation of criminal and/or civil laws. Should any such attempt be made, the Contest Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution, and Contest Sponsor reserves the right to ban or disqualify an entrant from this Contest and any future contests.
(d) Identity of Online Entrant. If a dispute arises regarding the identity of any online entrant, the applicable entry will be deemed to have been submitted by the authorized account holder of the account provided at the time of entry. An entrant may be required to provide proof that he or she is the authorized account holder of the account associated with a particular entry. The individual assigned by an Internet access provider, online service provider, or other organization responsible for assigning the applicable type of account is considered the authorized account holder. Whether or not an individual constitutes the authorized account holder in question will be determined by Contest Sponsor in its sole discretion; and, if the name of the authorized account holder does not accord with the full name provided at the time of entry, the applicable entry may be disqualified at Contest Sponsor’s sole and absolute discretion.
(e) Residents in Quebec. Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.
In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to the French version of these Rules and/or point of sale, television, print or online advertising, the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by applicable law.
